Modern Commerce Has No Fixed Location

Location-independent business is now normal. A developer in Lisbon, a designer in Chiang Mai, a consultant in Dubai and a marketer in Mexico City can each run a business serving clients across multiple continents without any of them relocating.

The infrastructure followed: Stripe, Wise, Revolut and Airwallex handle cross-border payments; remote-first employers and platforms pay international contractors; the UK legal system accepts non-resident directors without friction.

What has not necessarily followed is a matching legal structure. Many location-independent businesses still operate as sole traders in whichever country the founder happens to be tax-resident — a structure that fits badly once the business has UK clients, an international team, or genuine commercial exposure.

Why a UK Ltd Fits a Nomadic Business

A Legal Anchor That Does Not Move

Your company exists in one jurisdiction regardless of where you physically are. When you move from Lisbon to Bangkok to Mexico City, the UK Ltd does not change, your contracts do not need reassigning, and your client relationships stay with the entity rather than with you personally.

This is the single strongest practical argument. For a business that crosses borders by design, the structure should not be tied to a location by accident.

Limited Liability Without Local Presence

As a sole trader, business debts are personal debts. A client who disputes a £30,000 invoice, an equipment failure, or a lease dispute becomes a claim against your personal assets wherever those assets happen to be.

A UK Ltd with you as sole director separates the two. Liability is limited to the company. For someone whose assets may be in several countries, that separation is more valuable than it is for a founder based in one place.

GBP Account Details and UK Payment Infrastructure

A UK Ltd gets:

  • A UK GBP account with sort code and account number
  • Direct Debit and Faster Payments compatibility
  • Ability to receive UK client payments into a UK account
  • Multi-currency capability through Wise, Revolut or Airwallex

Without a GBP account, receiving from UK clients means conversion through a personal or third-party arrangement, with worse rates and a weaker paper trail for invoices and tax records.

Stripe, Marketplaces and Payment Gateways

Some payment providers and marketplaces have geographic or entity requirements. A UK company satisfies UK-facing requirements that a foreign sole proprietorship may not. This is particularly relevant for Amazon, e-commerce platforms, B2B invoicing systems and financial products.

Credibility in the UK Market

When a UK client's procurement team runs a supplier check, a registered UK company passes. A foreign sole trader raises questions about contractual standing, insurance and liability. This matters as the business grows from freelance work into commercial contracts.

International Tax Treaties

The UK has a network of tax treaties. As a UK company, you may reduce withholding tax on dividends paid to you in another country — and claim foreign tax credits for tax paid elsewhere. Many founders discover this only once they are established; setting the structure up front makes it available from the start.

[!IMPORTANT] Your personal tax residence, not your company residence, determines most of your personal tax position. Forming a UK company does not remove you from tax in the country where you actually live. Several countries — including Spain, Portugal and the UAE under some circumstances — have anti-avoidance rules that can attribute company income to a resident founder regardless of where the company is incorporated.

The Practical Requirements

Forming from abroad is straightforward, with five things needed.

1. A UK Registered Office Address

Every UK company must have a registered office in the correct UK jurisdiction. A PO box is not accepted. For a nomadic business this must be a registered address service, since you have no premises.

2. A Director Service Address

Different from the registered office. It is where Companies House and HMRC send director-specific correspondence, and it is what appears against your name on the public register. Using a service address keeps your home address off the register.

Both are typically provided together by a formation provider or address service.

3. Identity Verification

Under the Economic Crime and Corporate Transparency Act (ECCTA), every director and person with significant control must have their identity verified by an Authorised Corporate Service Provider (ACSP). This is done online with photographic ID and a biometric or documentary check.

This is the main practical change for non-UK founders since 2024 — you cannot incorporate without an ACSP-verified identity process.

4. A SIC Code

At least one Standard Industrial Classification code describing what the business does. Choose accurately; banks use it to assess risk, and an incongruent code triggers compliance escalation. Our SIC code guides cover selection.

5. Registered Office Jurisdiction

The registered office determines the legal jurisdiction. England and Wales, Scotland and Northern Ireland have separate legal systems, though the Companies Act 2006 largely harmonised company law. For most businesses the practical difference is minimal.

Where Should You Register From?

You are not required to be in the UK when you incorporate. You can complete the entire process remotely from anywhere with internet access, provided your identity verification is accepted.

Common nomad bases and their considerations:

Location Considerations
Portugal NHR 2.0 replaced by a new regime in 2025 — review current rules carefully
Spain Beckham Law for qualifying new residents; significant non-resident taxation
UAE 0% personal income tax on salary, corporate tax on trading profits
Thailand Long-stay visa routes with favourable tax treatment for some income
Estonia Digital programme for non-resident founders establishing an Estonian company
Dubai/DIFC Non-resident company structures with ongoing substance requirements

[!WARNING] Anti-avoidance rules in Spain, Portugal, Australia and elsewhere can attribute income to a tax-resident founder even when the company is incorporated elsewhere. Before incorporating anywhere, check how your home country treats a founder who is personally tax-resident there but owns a company in another jurisdiction. Setup advice from a cross-border tax accountant is worth paying for at this stage.

What You Cannot Do

You cannot use the company as a personal tax tool. A UK company with no genuine business substance is treated as a tax avoidance arrangement by most jurisdictions. It must have real business purpose.

You cannot avoid UK Corporation Tax by being abroad. A UK company pays UK Corporation Tax on its UK profits regardless of where the director lives.

You cannot ignore your home-country filing obligations. This is the most common mistake — the founder forms a UK company and stops filing anything anywhere.

You cannot skip ECCTA verification. Companies House will not process a formation for a director without ACSP-verified identity.

Running a Nomadic Business From a UK Ltd

Banking. Wise Business and Revolut Business both accept non-resident directors and provide GBP account details. Tide generally requires UK residency. Mercury suits founders with US connections. Our banking comparison covers the options.

Accounting. You must keep accounting records and file annual accounts at Companies House, even if dormant. Bookkeeping in another currency requires consistent treatment for tax purposes.

Corporation Tax and VAT. Register with HMRC within 3 months of starting UK taxable activity. If you import goods into the UK to sell, VAT registration is required immediately, with no threshold.

Confirmation Statement. Annually, every 12 months, without exception.

Tax residency. Track days spent in each country — many jurisdictions use 183-day or equivalent tests that determine your personal tax position.
